Risk Disclosures

PURCHASE PRICE:

   Sales: The purchase price Customer has been quoted and agreed to pay includes PWP's profit margin on the transaction. Within the Precious Metals industry, the difference between PWP's cost on the day of the purchase (for the Precious Metals Customer has agreed to buy) and the retail price quoted to Customer is known as the "Spread." Spreads vary significantly - by Precious Metal, by customer, and over time. For Customer to make a profit, Customer must be able to sell the Precious Metals in the future for a price high enough to cover Customer's initial investment, including this Spread. Spreads may be subject to negotiation, and any Spread charged to Customer in a specific transaction may be more or less than the Spread charged to others in similar transactions or charged to Customer in prior or future transactions.

   Re-purchases: The law prohibits PWP from guaranteeing to re-purchase the Precious Metals PWP sells, and PWP does not guarantee that it will re-purchase any Precious Metals that Customer purchases. However, as of the date of the transmission of this Transaction Agreement, PWP has never refused the opportunity to re-purchase Precious Metals that a customer purchased from PWP. If you wish to sell your Precious Metals in the future, PWP encourages you to offer them to PWP first. Should PWP make an offer to re-purchase Precious Metals you previously purchased from PWP, it is PWP's current practice, which is subject to change at its sole discretion, to offer to re-purchase Precious Metals that it commonly sells at the highest current wholesale price (offered by PWP's suppliers) for such Precious Metals. PWP's re-purchase offer may be raised or lowered on a daily, even hourly or more basis, depending upon various market conditions, inventory needs, and the price and availability of comparable Precious Metals. PWP does not guarantee that any re-purchase offer will equal the price that PWP would pay to acquire the same denomination/type and grade of Precious Metal from a wholesaler, or that any offer made will be higher or equal to what someone else might offer for the same Precious Metals.

   Classification as Bullion, Limited Minted, or Premium: Whether a Precious Metal is classified as Bullion, Limited Minted, or     Premium may turn on a number of objective and subjective factors, including the age of the Precious Metal, its condition, the number of known copies, the likelihood of additional minting, the originating country, relevant historical events or owners (e.g., shipwreck; royalty), relevance to the formation of various Precious Metal collections, and an investor's personal attraction to the piece. PWP's classification of Precious Metals is only an opinion and may change over time (e.g., if additional quantities of the Precious Metal are discovered). In addition, given the subjective nature of the classification process, other dealers or investors may classify the same coin differently. PWP's prices and spreads are based on its classification determination.

INVESTMENT OBJECTIVES; HOLDING PERIOD; INVESTMENT RISK; NO ADVICE; COMMISSIONED SALES REPRESENTATIVES:

  1.     PWP is a seller and purchaser of Precious Metals. This is a NON DISCRETIONARY ACCOUNT: While PWP is always prepared to compare and contrast the different Precious Metals that are available for purchase or that PWP is willing to purchase, Customer acknowledges and agrees that (i) no fiduciary relationship exists between PWP and Customer, (ii) the decision to purchase or sell Precious Metals, and which Precious Metals to purchase or sell, are the Customer's decision alone, and (iii) purchases or sales are made subject to Customer's own prudence and judgment.

  2.    In PWP's opinion, Precious Metals should be considered a long-term investment. Customer should be prepared to hold any Precious Metals purchased - whether from PWP or elsewhere - for at least a three to five year period, and preferably five to ten years, to maximize the potential for gains. In PWP's opinion, Customer should only invest capital that can be held for at least this period of time. However, Precious Metals, like all investments, carry capital risk. Precious Metals may appreciate, depreciate, or stay the same depending on a variety of factors. PWP cannot guarantee, and makes no representation, that the Precious Metals will appreciate at all or appreciate sufficiently to make Customer a profit at the expiration of this or any other period of time.

  3.    In PWP's opinion, Customer should not invest more than thirty five percent (35%) of Customer's available investment funds in Precious Metals. Moreover, Precious Metals do not yield income and thus are not an appropriate investment vehicle for investors seeking current or future income.

  4.    The success of an investment in Precious Metals is dependent, in part, upon extrinsic economic forces including but not limited to supply, demand, international monetary conditions, and inflation or the expectation of inflation. The impact of these forces on the values of Precious Metals in general or any particular Precious Metal cannot be predicted. Customer acknowledges that the Precious Metals market can be volatile and that Precious Metal prices may rise or fall over time. Customer further acknowledges that past performance is no guarantee of future performance.

  5.    PWP does not provide tax, investment, or legal advice or advisory services, and no one associated with PWP is authorized to provide any such advice or services. Any written or oral statements by PWP, its officers, agents, sales representatives, or other representatives relating to future events or the attributes of certain Precious Metals are opinions only. Such statements, if any, are not representations of fact.

  6.    PWP's sales representatives are commissioned salespersons - i.e., their salary is based, at least in part, on the amount and profit margin of the Precious Metals they sell. In addition, from time to time, PWP's sales representatives may receive other compensation tied to sales activity - e.g., sales contests; bonuses tied to the sale of certain denominations/types or grades of Precious Metals. PWP's sales representatives are not licensed and their knowledge of Precious Metals and the Precious Metals marketplace varies markedly.

  7.    PWP makes no representations regarding the tax consequences of holding Precious Metals as an investment in an IRA. Customer expressly acknowledges that Customer has been advised to seek independent tax advice, from a qualified professional, regarding the tax consequences of such an investment.

GRADES:

  1.    PWP is not a grading service. PWP purchases Precious Metals for re-sale to its customers. PWP is not a grading service. PWP does not independently assess the Precious Metals it purchases for re-sale, but relies upon the opinions and assessments of independent grading services such as Professional Coin Grading Service, Inc., and the numismatic guaranty corporation, NGC. Grading is a subjective process and it is not uncommon for grading services, or individual examiners within the same grading service, to reach different conclusions regarding the appropriate grade for a particular Precious Metal. Moreover, grading standards are constantly evolving. PWP does not guarantee that the Precious Metals it sells will achieve the same grades in the future. In selling graded Precious Metals, PWP warrants that the Precious Metal is genuine (i.e., not a counterfeit) and states that the grade is as opined by the grading service when graded by that service.

  2.    Grading is subjective. Grading is a subjective determination. Grading is an art, not a science. While numerical grading may give the impression of precision, the numbers in fact represent a nuanced opinion that even experts cannot consistently and systematically agree upon. The grade reflects the opinion of the cataloger (or grader) as to the state of preservation, method of strike, and overall appearance of a particular Precious Metal or lot.

  3.    Terminology. The term "proof" or "specimen" is used to describe a method of manufacture. Those terms do not connote a grade, condition or attribution.

  4.    Cleaning/Toning. PWP does not represent that a Precious Metal has or has not been cleaned, that any toning is natural or artificial, that a Precious Metal has a particular provenance or pedigree, that a Precious Metal is struck or not struck, that a Precious Metal is produced or not produced in a particular manner or style, and/or that a different grading service (or even a different grader within the same grading service) would assign the same grade now or in the future to the same Precious Metal.

  5.    Acknowledgment. Where PWP sells a Precious Metal that is encapsulated by a grading service and bears the grade or condition ascribed to it by the grading service, Customer acknowledges and agrees that other grading services or knowledgeable purchasers might reach a different conclusion as to the item's grade. Customer further acknowledges that PWP has provided the grader's description for the customer's information and makes no warranty as to its accuracy or the standards used to determine that grade.

RETURNS/EXCHANGES/SALES

   The customer, only if a first-time customer, may obtain a full refund for the return of undamaged and unused merchandise to Pinnacle Wealth Preservation within 48 hours of receipt by the customer. “Precious Metals Invoice” of merchandise is considered to occur on either:

   (1) the date that the customer received actual possession of the merchandise; or (2) the date that the customer received written confirmation that the merchandise has been deposited in the customer’s name in an independent depository as previously directed in writing by the customer. (3) the date the Precious Metals Invoice was sent via email, fax, or mail.

   Welcome to Pinnacle Wealth Preservation. This website is owned and operated by Pinnacle Wealth Preservation. By visiting our website and accessing the information, resources, services, products, and tools we provide, you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereafter referred to as ‘User Agreement’), along with the terms and conditions as stated in our Privacy Policy (please refer to the Privacy Policy section below for more information).    g.    We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:

   We have the right at our sole discretion to remove any content that, we feel in our judgment does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any 3rd party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.

 

   h.    We do not assume any liability for any content posted by you or any other 3rd party users of our website. However, any content posted by you using any open communication tools on our website, provided that it doesn’t violate or infringe on any 3rd party copyrights or trademarks, becomes the property of Pinnacle Wealth Preservation, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit. This only refers and applies to content posted via open communication tools as described, and does not refer to information that is provided as part of the registration process, necessary in order to use our Resources. All information provided as part of our registration process is covered by our privacy policy.

i.    You agree to indemnify and hold harmless Pinnacle Wealth Preservation and its parent company and affiliates, and their directors, officers, managers, employees, donors, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this User Agreement or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this User Agreement. In such an event, you shall provide us with such cooperation as is reasonably requested by us.

Limitation of Warranties

   By using our website, you understand and agree that all Resources we provide are “as is” and “as available”. This means that we do not represent or warrant to you that:

i)    the use of our Resources will meet your needs or requirements.

ii)    the use of our Resources will be uninterrupted, timely, secure or free from errors.

iii)    the information obtained by using our Resources will be accurate or reliable, and

iv)    any defects in the operation or functionality of any Resources we provide will be repaired or corrected.

Furthermore, you understand and agree that:

v)    any content downloaded or otherwise obtained through the use of our Resources is done at your own discretion and risk, and that you are solely responsible for any damage to your computer or other devices for any loss of data that may result from the download of such content.

vi)    no information or advice, whether expressed, implied, oral or written, obtained by you from Pinnacle Wealth Preservation or through any Resources we provide shall create any warranty, guarantee, or conditions of any kind, except for those expressly outlined in this User Agreement.

Limitation of Liability

   In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of products and/or services. Pinnacle Wealth Preservation will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

Copyrights/Trademarks

   All content and materials available on Pinnacle Wealth Preservation, including but not limited to text, graphics, website name, code, images and logos are the intellectual property of Pinnacle Wealth Preservation, and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by Pinnacle Wealth Preservation.

Termination of Use

   You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including, without limitation, breach of this User Agreement. Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Resources we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.

Governing Law

   This website is controlled by Pinnacle Wealth Preservation from our offices located in the state of FL, USA. It can be accessed by most countries around the world. As each country has laws that may differ from those of FL, by accessing our website, you agree that the statutes and laws of FL, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this website and the purchase of any products or services through this site.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts located in USA, FL You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Guarantee

   UNLESS OTHERWISE EXPRESSED, Pinnacle Wealth Preservation EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Sale Of Customer Coin

   Once a sale of a coin or coins is made the customer must send a wire for the sale amount within 72 hours; if customer does not send monetary value of the transaction Pinnacle Wealth Preservation will impose a ($300-$500) penalty for not complying with sale and logistics protocol; and has the right to cancel any future business with the customer. Lastly, you are subject to a commission, admin fees, shipping, taxes, delayed penalties, this is per specimen of the TMV of the coin or coins purchased or sold. 

 

   When you buy from Pinnacle Wealth Preservation, once we have issued a Precious Metals Invoice, you have a binding contract, the transaction price is locked-in and any corresponding market risk is transferred to you. This is a benefit to you because you know your price at your Sales Order confirmation time and we believe this is one of the key benefits of transacting with Pinnacle Wealth Preservation. If you default in your performance of payment, shipment or any other act required by you, we may cancel your Sales Order(s). If your Sales Order(s) is canceled, you agree you have full responsibility and liability to Pinnacle Wealth Preservation for any Market Loss, plus a one hundred-five dollar ($105.00 USD) cancellation fee. You must also pay, and have full responsibility and liability to, Pinnacle Wealth Preservation for all fees and costs associated with Pinnacle Wealth Preservation’s efforts in collecting from you. Any Market Gain on Sales Order cancellations shall vest in and remain the property of Pinnacle Wealth Preservation, and Pinnacle Wealth Preservation shall have no responsibility to you for Market Gain. We reserve the right to cancel any Sales Order at any time and for any reason. All future Sales Orders will be held for shipment until any/all outstanding Market Loss and/or cancellation fee balances have been paid in full.

 

   When you sell to Pinnacle Wealth Preservation, once we have issued a Purchase Order confirmation number, you have a binding contract, the transaction price is locked-in and the corresponding market risk is transferred to you. This is a benefit to you because you know your price at your Purchase Order confirmation time and we believe this is one of the key benefits of transacting with Pinnacle Wealth Preservation. If you default in your performance of shipment, quality or quantity or any other act required by you, we may cancel your Purchase Order(s). If your Purchase Order(s) is canceled, you agree you have full responsibility and liability to Pinnacle Wealth Preservation for any Market Loss, plus a three hundred ninety nine dollar ($399.00 USD) cancellation fee. You must also pay, and have full responsibility and liability to, Pinnacle Wealth Preservation for all fees and costs associated with Pinnacle Wealth Preservation’s efforts in collecting from you. Any Market Gain on Purchase Order cancellations shall vest in and remain the property of Pinnacle Wealth Preservation, and Pinnacle Wealth Preservation shall have no responsibility to you for Market Gain. We reserve the right to cancel any Purchase Order at any time and for any reason.

PRIVACY POLICY

   Pinnacle Wealth Preservation respects your privacy. We will never willfully disclose individually identifiable information about our customers to any third party, except in the limited circumstances permitted by this policy.

Pinnacle Wealth Preservation does not sell, rent, or loan any personally identifiable information regarding its customers to any third party. Any information you give us is held with the utmost care and security, and will not be used in ways to which you have not consented.

Information We Collect Automatically

   Whenever you visit or interact with the Sites,Pinnacle Wealth Preservation, as well as any third-party advertisers and/or service providers, may use a variety of technologies that automatically or passively collect information about how the Sites are accessed and used (“Usage Information”). Do Not Track Signals

   California law requires us to let you know how we respond to web browser Do Not Track (DNT) signals.    Pinnacle Wealth Preservation licenses technology to serve advertisements on its own Sites and within its content as that content is served across the Internet. In addition, Pinnacle Wealth Preservation may use third party network advertisers to serve advertisements and third party analytics vendors to evaluate and provide us with information about the use of the Sites and viewing of our content.
